QNTX – Terms and Conditions

1. Acceptance of Agreement

These Terms and Conditions (“Terms”) govern access to and use of the website operated by QNTX (“Company,” “we,” “us,” or “our”) and the purchase of any products offered by the Company. By accessing this website, creating an account, or completing a purchase, the purchaser (“Purchaser,” “you,” or “your”) acknowledges that they have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use of this website.

The Company reserves the right to modify these Terms at any time in its sole discretion. Continued use of the website or purchase of products following modification constitutes acceptance of the revised Terms.

2. Research Use Only

All products sold by QNTX are intended strictly and exclusively for laboratory research purposes. Under no circumstances are any products sold by QNTX intended for human consumption, animal consumption, clinical application, therapeutic use, diagnostic use, cosmetic use, or dietary supplementation.

Purchaser expressly acknowledges that products have not been evaluated by the United States Food and Drug Administration (“FDA”) for safety or efficacy and are not approved to diagnose, treat, cure, or prevent any disease.

3. Regulatory Status

QNTX operates solely as a chemical supplier. QNTX is not a compounding pharmacy as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, nor is it an outsourcing facility as defined under Section 503B of the Federal Food, Drug, and Cosmetic Act. QNTX does not compound medications, dispense prescription drugs, or provide medical advice.

Nothing contained on this website, in marketing materials, or within product documentation shall be construed as medical guidance or clinical instruction.

4. Eligibility and Representations

By placing an order, Purchaser represents and warrants that they are at least twenty-one (21) years of age and are purchasing products on behalf of a legitimate laboratory, research institution, educational entity, or other qualified research organization. Purchaser affirms that they possess the requisite training and knowledge necessary to handle research chemicals safely and lawfully.

The Company reserves the right to request documentation verifying research intent and to refuse service at its sole discretion.

5. Assumption of Risk

Purchaser acknowledges that research chemicals may present hazards, including toxicity, reactivity, or unknown biological effects. Purchaser assumes all risks associated with the acquisition, handling, storage, transportation, use, and disposal of products.

QNTX shall not be liable for misuse, improper storage, regulatory violations, or experimental outcomes.

6. Disclaimer of Warranties

All products are provided “AS IS” and “WITH ALL FAULTS.” QNTX makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. No statement by QNTX shall create any warranty not expressly stated herein.

7. Limitation of Liability

To the fullest extent permitted by law, QNTX shall not be liable for indirect, incidental, consequential, punitive, or exemplary damages arising from the use or misuse of its products. Under no circumstances shall QNTX’s aggregate liability exceed the lesser of the purchase price paid for the product at issue or five hundred dollars ($500).

8. Indemnification

Purchaser agrees to indemnify, defend, and hold harmless QNTX from any claims, liabilities, penalties, or expenses arising from Purchaser’s misuse, resale, regulatory violations, or unlawful application of products.

9. Arbitration and Class Action Waiver

Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Kentucky. Purchaser agrees that disputes shall be conducted solely on an individual basis and waives participation in any class action proceeding.

10. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles. The parties agree that any arbitration shall take place in the State of Kentucky.

11. Severability

If any provision is deemed unenforceable, remaining provisions shall remain in full force and effect.
